If the User does not agree to the Terms or perform any/all obligations accepted under the Terms, then the User may not access or use the Services or the Platforms of insiders.bot. ### **1. DEFINITIONS AND INTERPRETATION** 1.1. “Action” means any claim, action, cause of action, demand, lawsuit, arbitration, inquiry, audit, examination, notice of violation, proceeding, litigation, citation, summons, subpoena, or investigation of any nature. 1.2. “Affiliate(s)” means any person or entity directly or indirectly, employed or engaged on a contractual basis, or in any other similar way related to insiders.bot. 1.3. "Applicable Law(s)" means any and all applicable substantive and procedural laws, including but not limited to, the State of Singapore and other relevant laws applicable to the User(s). 1.4. “Fees” means the platform trading transaction fees and membership subscription fees charged by the Platform. 1.5. “DApp(s)” means decentralized applications. 1.6. “Digital Asset” shall include but are not limited to crypto assets, non-fungible tokens (“NFT(s)”), and/or other similar digital assets held or received by the User. 1.7. “Gas Fee” is the pricing mechanism employed on a blockchain to compensate for the computing energy allocated to process a transaction. 1.8. “insiders.bot Account” means the login account of the User created with insiders.bot for the use of its Services. 1.9. “User” may refer to “Visitor” or any other person (individual or otherwise) who engages with and participates in Community activities and in insiders.bot Forums. 1.10. “Visitor” shall include lurkers, visitors and/or readers who inter-alia browse, read and/or watch content provided by insiders.bot. ### 2. SCOPE 2.1. insiders.bot acts as a platform provider for digital asset information and trading services. The Platform connects users for data interaction and service engagement, and the consideration for each transaction shall be determined by the Users involved or the platform protocols. 2.2. insiders.bot shall have no liability pertaining to any dispute or non-delivery of service between Users. insiders.bot acts as a mere platform provider, and thus there exists no liability that shall be imposed upon insiders.bot for adherence to employment/labour or contract laws between Users. 2.3 insiders.bot may provide digital asset data sourced from third parties throughout the Platform. We may, at our sole discretion, label warnings or restrict service interactions with certain assets. The information provided does not constitute a solicitation for user-initiated swaps; we are not promoting any actions through this data. All product information is for informational purposes only and does not constitute investment advice or safety endorsements. You should not make any investment decisions based on our product information. The provision of data does not imply investment recommendations or endorsements of any transactions. USER ELIGIBILITY 3.1. The User represents and warrants that the User has completed the age of majority in their jurisdiction or eighteen (18) years of age. 3.2. If the User is between the ages of Fourteen (14) and eighteen (18), the User’s parents or legal guardian must have provided consent. 3.3. Any User below the age of fourteen (14) is not permitted to engage with insiders.bot. 3.4. The User warrants they are not subject to economic sanctions (e.g., OFAC, UN Security Council). 3.5. All users should acknowledge and accept funds held on Your behalf. Insiders.bot may provide you with the option to create a stored value account issued by Privy wallet. We will not use your funds Balance for its operating expenses or any other corporate purposes. 3.6. Restricted Jurisdictions: insiders.bot does not engage with digital wallets that are located in, established in, or associated with residents of the following: the United States, United States Minor Outlying Islands, Afghanistan, Algeria, Angola, Argentina, Australia, Belarus, Belgium, Bolivia, Bulgaria, Burkina Faso, Burundi, Cameroon, Canada, Central African Republic, China, Côte d'Ivoire (Ivory Coast), Cuba, Democratic Republic of the Congo, Ethiopia, France, Germany, Haiti, India, Iran, Iraq, Italy, Kenya, Laos, Lebanon, Libya, Mali, Monaco, Mozambique, Myanmar (Burma), Namibia, Nicaragua, Niger, North Korea (Democratic People's Republic of Korea), Panama, Poland, Russia, Singapore, Somalia, South Sudan, Sudan, Switzerland, Syria, Thailand, Ukraine, United Arab Emirates, United Kingdom, Venezuela, Yemen, Zimbabwe, or any region subject to sanctions imposed by the United States, the United Kingdom, or the European Union. The use of software or networking techniques, including Virtual Private Networks (VPNs), to alter your Internet Protocol address or otherwise bypass this prohibition is strictly prohibited. Any attempt to access or utilize the Platform from these jurisdictions constitutes a violation of these Terms and may result in the immediate termination of your access to the Platform. ### 4. BASIC USE REQUIREMENTS 4.1. The User shall require a compatible mobile phone and internet to use the Services. 4.2. The User is solely responsible for such requirements and associated fees. insiders.bot shall not be responsible for any failed transactions due to internet issues or Device malfunctions. ### 5. PAYMENTS AND FEES 5.1. insiders.bot may charge a fee for the Services made available to the User and reserves the right to change such fees at its sole discretion. 5.2. While services are listed on the Platform, insiders.bot may provide smart contract tools to facilitate secure transactions. ### 6. TRANSACTIONS 6.1. Payments between Users may be made in fiat or cryptocurrency as agreed privately. 6.2. Payments and associated terms shall be governed by private agreements between Users; insiders.bot shall not be liable for disputes arising therefrom. 6.3. Users are solely responsible for the use of any smart contract tools provided by insiders.bot. 6.4. No taxes shall be withheld from any Payments by insiders.bot, and recipients are fully liable for their own tax obligations. 6.5. Digital Asset transactions are recorded on blockchains; insiders.bot cannot cancel or modify transactions once initiated. ### 7. TRANSACTION FEE 7.1. Users must ensure they have an adequate amount of Gas fees or transaction fees to complete interactions on third-party networks. 7.2. insiders.bot shall not be liable for failed transactions due to inadequate fees. ### 8. USER CODE OF CONDUCT 8.1. Obligations and Prohibited Actions: 8.1.1. No false, offensive, or illegal material. 8.1.2. No impersonation of other persons. 8.1.3. Users shall be civil and respectful. 8.1.4. Users shall not reveal identifiable information of others without permission. 8.1.5. No use of insiders.bot for prohibited purposes under Applicable Law. 8.1.6. No interference with security features or reverse engineering of the Platforms. ### 9. THIRD-PARTY SERVICES 9.1. Users may interact with third-party DApps or social platforms (Telegram, X, Discord) integrated with insiders.bot. 9.2. insiders.bot is not responsible for the accuracy or legality of third-party materials. 9.3. Use of third-party services is governed by their respective terms and fees. ### 10. TAXES 10.1. Users are responsible for identifying and paying all taxes imposed on their transactions. 10.2. insiders.bot undertakes not to withhold any tax deduction at source. ### 11. ASSUMPTION OF RISK 11.1. Users assume all risks associated with smart contracts, experimental blockchain technologies, and regulatory changes that may affect insiders.bot. ### 12. INDEMNIFICATION 12.1. The User agrees to indemnify insiders.bot from any claims arising out of the User’s breach of Terms, misuse of services, or violation of laws. ### 13. TERM AND TERMINATION 13.1. Terms are effective from the Effective Date until terminated. 13.2. insiders.bot may terminate a User’s access without notice for breach of conduct. 13.3. Users may request account termination by contacting insiders.bot. ### 14. LIMITATION OF LIABILITY 14.1. insiders.bot shall not be liable for lost profits, incidental, or consequential damages. 14.2. insiders.bot is not liable for non-payment or inadequate service between Users. 14.3. insiders.bot has no duty to investigate agreements or communications between Users. ### 15. DISCLAIMERS 15.1. SERVICES ARE PROVIDED “AS IS” WITHOUT GUARANTEES. 15.2. insiders.bot DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. 15.3. insiders.bot DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE SERVICE. ### 16. FORCE MAJEURE 16.1. insiders.bot is not liable for failures caused by acts of God, pandemics, or equipment shutdowns. 17\. INTELLECTUAL PROPERTY 17.1. insiders.bot retains all rights to its intellectual property, including logos, source code, and smart contracts. 17.2. Feedback provided by Users may be used by insiders.bot without compensation. ### 18. GOVERNING LAW 18.1. Governing law shall be the substantive laws of the State of Singapore. 18.2. Users submit to the exclusive jurisdiction of the state courts of Singapore. ### 19. DISPUTE RESOLUTION AND CLASS ACTION WAIVER 19.1. Users are encouraged to settle conflicts amongst themselves. No disputes between Users shall be attributable to insiders.bot. 19.2. User complaints regarding insiders.bot Services shall be resolved via negotiation. 19.3. Users waive any right to class action lawsuits or class-wide arbitration. ### 20. MISCELLANEOUS 20.1. Entire agreement: These terms supersede all previous communications. 20.2. Severability: Invalid clauses shall be struck without affecting remaining provisions. 20.3.
